if your running a lot of stuff like 2 hard drives 2 cd writers, neon lights ,cooling system, plenty of components id go for 400 but if you have a standard pc with not many extras(i.e maybe a cd writer and graphics card) id stick with the 300 watt, but even if you only have a standard pc a 400 watt psu wouldnt make much difrence. it dont really matter which one you buy to be onest but if you have an option for the same price to get a 400 watt one id go with that.

The old stuff in my pc that i want to move accross are:
a 40GB hard drive
a Geforce 2 MX (APG slot) (soon to be changed for an ATI maya 2 card, when I have the money)
a DVD-ROM and CD rewriter
a Floppy 3.5 drive
a pci TV card

Both lots will work together, but you may have to bare in mind that i don't think either motherboard has ISA slots (the longer black one's) so im not sure what other items from your old pc you want to fit into this new one, what is the spec of your older computer you wish to pilfer bits from, also when you buy a case you need to make sure the PSU is P$ compliant as it need the extra 12volt 4 pin plug, i believe most cases are now though so you should be o.k.

Oh and by the way most P4 2.4b's can overclock to 3 gig and beond without much hassle, just a thought :).
