Depending on which motherboard oyu have, you may find it easier to remove your ram before you start - if it looks like you might hit it while waving a screwdriver around. Basically, you shuld see that the heatsink is attatched to the CPU socket by a metal clip on opposite sides. Take said screwdriver and find the side of the heatsink with a small hook on the clip that you can fit a screwdriver in to, push down in to it and move the clip down and out, off of the plastic pegs. Lift that side up, and then unhook the other side - shouldn't need any tools for that bit. Open the lever at the side of the socket, then lift the cpu straight up out of it.
Stick the XP in, apply any thermal compound you may wish to use (www.arcticsilver.com for a guide) and put the heatsink back on. You'll have to attatch it at an angle, the side without a hook first, then push the other side down and over the pegs, locking it in place.
You may not have a hsf which attatches with clips, most socket A mobos will accept screws to mount the heatsink. If so, it's fairly self explanatory, just screw/unscrew instead of clipping/unclipping. This is a little safer, as you're not exerting a lot of physical pressure on a single point and your screwdriver wont slip...just don't screw it down so tightly that you crack the die. Ask on here for any specific help, only killed 1 CPU in my time..good learning experience.
