Does the convert command run from a booted dos or a windows command prompt?
it is a pain if you want to re-install windows at some point or partion drives ect.

You'll find most of the answers to your questions in there. Whether you should really do it though depends on your machine specs, what you're using it for etc..
You might get performance increase, depends on your HD size though.

NTFS is probably slower than FAT32 and you may lose a little space. If both your WinME and XP installations are on the same box WinME may not be able to read XP's drive. However, if you network them then you should be fine.
IMHO, you'll only gain a security benefit and it's probably not worth the hassle.
