I think that Square desperately want to make games for the GBA although Nintendo won't let them unless they release their best games (Chrono Trigger and Final Fantasy) simultaneous on the PS2 and Gamecube at the same time, something Sony don't like...
Nintendo's deal is fair as they aren't asking for any exclusives, simply "treat us as nicely as you do Sony and we'll forgive you your past".
At the same time, Sony are running short of exclusives and desperately need Square's games to themselves.
Now Square are in serious debt and desperately need to make GBA games (which would make double the profits of a PS2 game) but at the same time, they don't want to cross Sony.
And if they didn't mind crossing Sony, can they really place their entire fate in a company whose boss (Yamauchi) hates them?
Heaven knows what'll happen next...
