I seem to remember hearing about a dr who episode where one of his companions is in mortal danger and the only way she can be saved is if the Doctor surrenders his regenerative powers to beings known as the Watchers. The end event of this is when the 4th Dr falls and the watcher appears. Can anyone name the episode? I'm aware of Logopolis but the name of the epsiode of which dr it was that surrendered his powers of regeneration to the watchers?

It sounds as if you are mixing up 2 stories.  There was certainly no TV episode where The Doctor has to give up his regeneration but there were a couple of stories from the alternative adventures and an 8th Doctor comic (The Flood, I think) which sounds similar.

In Logopolis the 4th Doctor prepared for his own regeneration and the Watcher was the waiting pre-regenerative 5th Doctor.
